Asset Purchase:
Upon proper evaluation it may be determined that it is best to buy the assets of the business rather than the stock or majority ownership interest of the going concern.

Stock Purchase:
In this process the initial concern is to determine an appropriate stock purchase price. The stock purchase agreement must be drafted and executed to complete the business purchase. Typically, this will require both the Board of Directors and Stock Holders approval to complete this type of purchase.

Government Contracting:
If your business is owned and operated by women or minorities you may qualify for special classification with the government. Provisions are established which ensure that minority or disadvantaged owned business receive a fair opportunity to participate in government contracting, and to be employed by the government for various services. An analysis of ownership of the company can be made to deternine if your company meets the qualifications.

Medicare/Medicaid:
The government has become the largest medical insurance provider in the nation. As such the standards are extremely burdensome for medical providers. It is important that your business has proper procedures in place which meet these requirements and prevent government action against you or the business. If the government alleges failure to comply with its standards or more extremely fraud or abuse you will need an attorney who has insight to this process.
